Job Responsibilities
- Advise clients on a wide range of capital markets transactions, including initial public offerings (IPOs), debt and equity offerings, private placements, and securities-related matters.
- Draft, review, and revise offering documents, prospectuses, underwriting agreements, and other transaction-related contracts.
- Conduct legal due diligence on issuers, underwriters, and target companies, preparing detailed reports and identifying key legal risks.
- Liaise with the Securities and Exchange Commission (SEC), the Stock Exchange of Thailand (SET), and other regulatory bodies to ensure compliance and secure necessary approvals.
- Provide legal advice on ongoing disclosure obligations, corporate governance, and regulatory compliance for listed and pre-IPO companies.
- Collaborate closely with partners, counsels, and cross-functional teams to support client transactions and business initiatives.
- Mentor and supervise junior associates, ensuring quality and efficiency in deliverables.
- Contribute to business development activities, including client presentations, seminars, and knowledge sharing.
Experience requirements
- Bachelor’s degree in Law; qualified Thai lawyer (LL.M. or international law degree is a plus).
- 5–7 years of experience in Capital Market practice, ideally at a leading local or international law firm.
- Strong understanding of Thai securities laws, SEC and SET regulations, and capital market procedures.
- Proven ability to draft and review complex legal documents in both Thai and English.
- Excellent analytical, problem-solving, and negotiation skills.
- Strong communication and interpersonal abilities, with confidence in client interactions and regulatory communications.
- Demonstrated leadership in guiding junior team members and managing multiple workstreams effectively.
- Fluent in English, with excellent legal writing and presentation skills.
